(formerly operating as Nxtech Technology) is a technology company registered in Nepal, providing web design, mobile application development, digital marketing, SEO services, web hosting, and domain registration. Our registered office is at Madhyapur Thimi, Bhaktapur, Nepal. References to “we,” “us,” “our,” or “Nxtech” in these Terms refer to Foxbeep Technology Pvt. Ltd.

2. Services We Provide

Our current service portfolio includes:

• Website design and development (WordPress, custom, e-commerce)
• Mobile application development (Android, iOS, Flutter)
• Search Engine Optimisation (SEO)
• Digital marketing (Facebook Ads, Google Ads, social media management)
• Web hosting and server management
• Domain registration and DNS management
• UI/UX design and prototyping
• Custom software development

Each service is subject to a separate service agreement that details scope, timeline, deliverables, and pricing. These Terms apply in addition to any such agreement.

3. Use of This Website

You may use our website for lawful purposes only. You agree not to:

• Use the website in any way that violates applicable Nepali or international law
• Transmit unsolicited marketing communications (spam)
• Attempt to gain unauthorised access to any part of our website or systems
• Introduce viruses, malware, or any other harmful code
• Scrape, copy, or redistribute our content without written permission
• Impersonate Nxtech, our staff, or any other person or entity
• Collect user data from our website without permission

We reserve the right to restrict or terminate access for users who violate these conditions, without notice or liability.

4. Project Agreements

All client projects are governed by a written project agreement signed before work begins. The agreement defines:

• The exact scope of work and deliverables
• Project timeline and milestones
• Total project cost and payment schedule
• Revision limits and change request procedures
• Acceptance criteria for final deliverables

Work outside the agreed scope will be quoted and billed separately. Verbal instructions, WhatsApp messages, and informal requests do not constitute a change to the project agreement unless confirmed in writing by both parties.

5. Payments and Invoicing

The following payment terms apply to all projects unless otherwise agreed in writing:

• Deposit: A non-refundable advance payment (typically 40-50% of total project value) is required before any work commences.
• Milestone payments: For larger projects, payments are tied to agreed milestones as detailed in the project agreement.
• Final payment: All outstanding amounts must be settled before final deliverables, source files, credentials, or hosting access are transferred to the client.
• Invoices: Invoices are due within 7 days of issuance unless stated otherwise. Overdue invoices may incur a late fee as specified in the project agreement.
• Currency: All prices are quoted in Nepali Rupees (NPR) unless explicitly stated otherwise.

6. Refund Policy

Refund eligibility depends on the nature of the service and the stage of the project:

• Advance/deposit payments are non-refundable as they cover initial planning, research, and resource allocation.
• Milestone payments are non-refundable once the corresponding milestone has been delivered and accepted.
• Hosting and domain fees are non-refundable once the service has been activated.
• If we fail to deliver: If Nxtech is unable to deliver the agreed scope within a reasonable timeframe due to our own fault, a proportionate refund may be issued at our discretion after written notice and a reasonable cure period.

Refund requests must be submitted in writing to support@foxbeep.com with full details of the basis for the request.

7. Hosting and Domain Services

The following terms apply specifically to hosting and domain services:

• Hosting and domain services are subscription-based and must be renewed before the expiry date to avoid service interruption.
• Renewal reminders are sent by email at least 30 days before expiry. Non-receipt of the reminder does not waive the client’s responsibility to renew.
• Nxtech is not liable for data loss resulting from hardware failure, natural disasters, or events outside our reasonable control. Clients are strongly advised to maintain their own backups.
• We do not guarantee 100% uptime but target industry-standard availability. Scheduled maintenance windows will be communicated in advance where possible.
• Hosting accounts found to be used for illegal activity, spamming, or resource abuse will be suspended without notice.

8. Intellectual Property

Our content: All content on this website — including text, images, logos, graphics, code, and design — is owned by or licensed to Foxbeep Technology Pvt. Ltd. You may not reproduce, distribute, or use any of it without our written consent.

Client deliverables: Upon receipt of full payment, ownership of the final deliverables (website files, app source code, design files) transfers to the client as specified in the project agreement. Nxtech retains the right to display the completed work in our portfolio unless the client requests otherwise in writing.

Third-party components: Deliverables may include open-source software, licensed fonts, stock images, or third-party plugins. These remain subject to their respective licences, which are the client’s responsibility to maintain after project completion.

9. Confidentiality

We treat all client information — business plans, financial details, login credentials, customer data, and project specifications — as strictly confidential. We will not disclose any such information to third parties without the client’s prior written consent, except where required by law or regulation.

This obligation of confidentiality survives the end of the business relationship and continues indefinitely unless the information enters the public domain through no fault of ours.

10. Limitation of Liability

To the maximum extent permitted by Nepali law, Foxbeep Technology Pvt. Ltd. shall not be liable for:

• Indirect, incidental, special, or consequential damages of any kind
• Loss of profits, revenue, data, goodwill, or business opportunities
• Damages arising from events outside our reasonable control (force majeure), including natural disasters, government actions, internet service disruptions, or power outages
• Actions of third-party service providers (hosting providers, payment gateways, API services)

Our total aggregate liability for any claim arising out of or related to these Terms or our services shall not exceed the total amount paid by the client for the specific service giving rise to the claim in the six months preceding the claim.

11. Third-Party Links and Tools

Our website and project deliverables may contain links to third-party websites or use third-party tools and services. We do not control, endorse, or assume responsibility for the content, privacy policies, or practices of any third-party websites. Following any such link is at your own risk.

12. Privacy

Our collection and use of personal information is governed by our Privacy Policy, available on this website. By using our services, you acknowledge that you have read and understood our Privacy Policy. We collect only the information necessary to provide our services and do not sell personal data to third parties.

13. Governing Law and Disputes

These Terms are governed by the laws of Nepal. Any dispute arising from or related to these Terms or our services shall be resolved as follows:

• First step: The parties shall attempt to resolve the dispute through good-faith negotiation within 30 days of written notice.
• If unresolved: The dispute shall be referred to a mutually agreed mediator in Bhaktapur, Nepal.
• If mediation fails: The dispute shall be submitted to the competent courts of Bhaktapur, Nepal, which shall have exclusive jurisdiction.

14. Changes to These Terms

We may revise these Terms at any time. When we make material changes, we will update the “Last Updated” date at the top of this page. Continued use of our website or services after the updated Terms are posted constitutes your acceptance of the revised Terms.
